   2. “Client” a User who registered and created an account by providing information, including his/her name, email address, residence, and/or phone number, and has created and submitted a username and password.

   4. “Company Name” is a corporation owned by Hayop Ni Manam registered under Singapore laws with address at 104 Amoy St., Singapore 069924.
   5. “Intellectual Property” means all copyright, patents, utility innovations, trademarks and service marks, geographical indications, domain names, layout design rights, registered designs, design rights, database rights, trade or business names, rights protecting trade secrets and confidential information, rights protecting goodwill and reputation, and all other similar or corresponding proprietary rights and all applications for the same, whether presently existing or created in the future, anywhere in the world, whether registered or not, and all benefits, privileges, rights to sue, recover damages and obtain relief or other remedies for any past, current or future infringement, misappropriation or violation of any of the foregoing rights.
   6. “Password” refers to the valid password that a User who has an account with Hayop Ni Manam may use in conjunction with their e-mail address to access HAYOPNIMANAM.COM and/or its Services.

3. You must at least be eighteen (18) years of age when you avail of our services. When you use/access our website, use/access any of our mobile apps, register, or avail of our services you represent and warrant that:
   1. You are at least eighteen (18) years of age, and with full capacity to enter into legally binding contracts/agreements, including these Terms and Conditions;
   2. Any and all the information you provide us are true and correct, and based on your own personal knowledge, or records in your possession;
   3. You agree to be bound by and strictly comply with the provisions in our Terms and Conditions;
   4. You have created only one account for each type of account, with us;
   5. You also agree that Hayop Ni Manam shall have the right to validate your information, through legal means, such as, but not limited to, conducting an inquiry to ascertain your true identity, making calls to the contact details that you have provided, and cross checking your information, with any other references which could be acquired legally, or available publicly.

      If Hayop Ni Manam finds any of the information that you provided to be false, or if you have committed any fraudulent act against Hayop Ni Manam, such acts would be considered as violations of these Terms and Conditions, and shall entitle Hayop Ni Manam to suspend, delete, or block your account by any means, such as, but not limited to, blocking your “Internet Protocol” address.

4. Availability of Hayop ni Manam and its Services. We may, from time to time and without giving any reason or prior notice, upgrade, modify, suspend or discontinue the provision of or remove, whether in whole or in part, HAYOPNIMANAM.COM or any Services and shall not be liable if any such upgrade, modification, suspension or removal prevents you from accessing HAYOPNIMANAM.COM or any part of the Services.
5. Right, but not obligation, to monitor content. We reserve the right, but shall not be obliged to:
   1. Prevent or restrict access of any User to HAYOPNIMANAM.COM and/or the Services;
   2. Report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities; and/or

Creating your account

1. Password. During registration, you would be asked to create a strong password. The password that you choose shall be used by you every time you access your account, use any of our mobile apps, avail of our services, or log-in into your account.You are solely responsible for the confidentiality and secrecy of your password. You must not share, disclose, or divulge, your password to anyone, in order to protect yourself.Hayop Ni Manam will not share or disclose your password with any person, including its own personnel, nor will any of Hayop ni Manam personnel be entitled to ask for your password from you.

   If you believe that someone else knows your password, or if you believe that it has been disclosed to someone who is not entitled to any knowledge of the same, you must inform Hayop ni Manam as soon as possible so that Hayop Ni Manam could make the necessary changes and suspend or terminate your account.

   Should Hayop Ni Manam have any reason to believe that there has been a breach of security, or misuse of the website, or any of its mobile apps, and such has been traced to your account, Hayop Ni Manam shall have the right to suspend, terminate, or delete your account at its sole discretion.

   If you have lost or forgotten your password and are unable to reset or change it following the instructions on the website or mobile app, you must contact Hayop Ni Manam immediately so that your password could be reset or changed. If you have lost or forgotten your password, any loss to your information on our website or in any of our mobile apps, as well as any damage you might incur shall be for your own account.

2. Information.  In creating your account, you will be advised to fill-in blanks which are marked as “Required Field/s.” You must complete the details needed for the required fields, otherwise, Hayop Ni Manam may not be able to provide its services to you. If you do not agree to provide the information asked for in the “Required Field/s,” your account may be denied registration, and you would not be able to avail of the services of Hayop Ni Manam.We may also ask personal information from you every time you update your account.Any personal information which you share with us during registration or in any other instance, would be kept confidential and will be shared only to Hayop ni Manam whose identities have been verified by Hayop Ni Manam.

   When you share your information with us, you also agree to be bound by the terms contained in our Privacy Notice.

3. SharingHayop Ni Manam shares the information gathered from the Users to the Designers and vice versa, as such is the main purpose of the website, any of its mobile apps – to create an online platform, where Users and Designers are matched.Third parties provide certain services available on Hayop Ni Manam’s behalf. Hayop Ni Manam may provide information, including Personal Data, that  Hayop Ni Manam collects on the web to third-party service providers to help us deliver programs, products, information, and services. Service providers are also an important means by which Hayop Ni Manam maintains its websites, any of its mobile apps, and mailing lists. Hayop Ni Manam will take reasonable steps to ensure that these third-party service providers are obligated to protect Personal Data on Hayop Ni Manam’s behalf.

   Hayop Ni Manam does not intend to transfer Personal Data without your consent to third parties who are not bound to act on Hayop Ni Manam’s behalf unless such transfer is legally required. Similarly, it is against Hayop ni Manam’s policy to sell Personal Data collected online without consent.

   4. Hayop Ni Manam staff charged with research and development;
   5. Organizations or groups partnered with Hayop Ni Manam for purposes of career improvement and related service enhancements;
   6. Government offices, agencies, and other governmental bodies, when required to do so, under authority of the law, or for purposes of crime prevention, or for the prosecution and apprehension of any offender, detection of fraud, or for any investigation under any subpoena, or other lawful order of the courts or quasi-judicial agencies; and/or

1. Restrictions. Use of the Services is limited to Users that are of legal age in the Philippines and who have the legal capacity to enter into and form contracts under any applicable law.

Risk and Liability

1. Risk of or damage to or loss of the packages shall pass to the Recipient at the time of delivery or if the Recipient fails to take delivery of the package/s when Hayop Ni Manam has tendered delivery of the same.
2. The liability of Hayop Ni Manam shall be limited to the calculated shipping fee from booking based on the dimensions and weight of the package, and the distance of the shipping.
3. Hayop Ni Manam shall not be liable for any loss, damage, or delay arising from force majeure. “Force majeure” shall include but not be limited to earthquakes, storms, fire, lightning, floods and other natural disasters or acts of God, war, hostilities, insurrection, national emergency, civil disturbance, orders of or actions from competent government authority, offices or agencies, or any similar cause beyond the control of either party and which is unforeseeable or, if foreseeable, is inevitable or unavoidable even with the exercise of reasonable diligence.
4. Any claims for loss, damage or delay must be made in writing and submitted to Hayop Ni Manam within thirty (30) days from discovery of the loss, damage or delay; otherwise, it shall not be honored.

Payment

1. Hayop Ni Manam’s Reservation Fees: We may offer the option to pay a reservation fee at the time of booking to secure your table. This fee will be clearly displayed during the reservation process and will be deducted from your final bill at the restaurant.
2. Payment Methods: We accept various payment methods for reservation fees, including e.g., credit cards (Visa, Mastercard, American Express), debit cards, online wallets (if applicable)]. Please note that the restaurant may have its own payment methods for the final bill, which may differ from those accepted on our website.
3. Payment Processing: All online payments are processed securely through a trusted third-party payment processor. We do not store your full credit card information on our servers.
4. Refund Policy: Our refund policy for reservation fees will be clearly outlined. This may vary depending on the restaurant’s cancellation policy and the amount of notice provided.
5. The payment methods may be subject to additional terms as prescribed by Hayop Ni Manam from time to time.
6. You agree that you are subject to the applicable user agreement of your payment method. You may not claim against Hayop Ni Manam for any failure, disruption or error in connection with your chosen payment method. Hayop Ni Manam reserves the right at any time to modify or discontinue, temporarily or permanently, any payment method without notice to you or giving any reason.

Notices

1. Notices from us shall be sent to you through SMS or email messages, or through registered mail as we deem fit.
2. You may give notice to us in writing sent to our designated address or e-mail address, or through messages sent to our cellphone number. While we endeavor to respond promptly to notices from you, we cannot guarantee that we will always respond with consistent speed.

Termination

You may terminate the relationship by deactiviating your account, uninstalling the mobile app or ceasing use of the Service. Upon any termination, you must immediately cease all use of the Service. If you are a Designer that was selected by a User to provide a design and you terminate your account before you have completely delivered the Design Package, you may not be allowed to use the Service in the future.

General Provisions

1. Cumulative rights and remedies: Unless otherwise provided under these Terms and Conditions, the provisions of these Terms and Conditions and our rights and remedies under these Terms and Conditions are cumulative and are without prejudice and in addition to any rights or remedies we may have in law or in equity, and no exercise by us of any one right or remedy under these Terms and Conditions, or at law or in equity, shall (save to the extent, if any, provided expressly in these Terms and Conditions or at law or in equity) operate so as to hinder or prevent our exercise of any other such right or remedy as at law or in equity.
2. No waiver: Our failure to enforce these Terms and Conditions shall not constitute a waiver of these terms, and such failure shall not affect the right later to enforce these Terms and Conditions. We would still be entitled to use our rights and remedies in any other situation where you breach these Terms and Conditions.
3. Severability: If at any time any provision of these Terms and Conditions shall be or shall become illegal, invalid or unenforceable in any respect, the legality, validity and enforceability of the remaining provisions of this Agreement shall not be affected or impaired thereby, and shall continue in force as if such illegal, invalid or unenforceable provision was severed from these Terms and Conditions.

Rights of third parties: A person or entity who is not a party to these Terms and Conditions shall have no right under any legislation in any jurisdiction to enforce any term of these Terms and Conditions, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, nothing in this Clause shall affect the rights of any permitted assignee or transferee of these Terms and Conditions.
5. Governing law: Use of Hayop Ni Manam and/or the Services and these Terms and Conditions shall be governed by and construed in accordance with Philippine law. If any dispute arises in connection with these Terms and Conditions.

Amendments: We may by notice through Hayop Ni Manam or by such other method of notification as we may designate (which may include notification by way of e-mail or announcement on the website), vary the terms and conditions of these Terms and Conditions, such variation to take effect on the date we specify through the above means. If you use Hayop Ni Manam or the Services after such date, you are deemed to have accepted such variation. If you do not accept the variation, you must stop access or using HAYOPNIMANAM.COM  and the Services and terminate these Terms and Conditions. Our right to vary these Terms and Conditions in the manner aforesaid may be exercised without the consent of any person or entity who is not a party to these Terms and Conditions.

8. Currency: Money references under these Terms and Conditions shall be in Philippine Pesos.
9. Entire agreement: These Terms and Conditions shall constitute the entire agreement between you and us relating to the subject matter hereof and supersedes and replaces in full all prior understandings, communications and agreements with respect to the subject matter hereof.
10. Binding and conclusive: You acknowledge and agree that any records (including records of any telephone conversations or SMS relating to the Services, if any) maintained by us or our service providers relating to or in connection with the Services shall be binding and conclusive on you for all purposes whatsoever and shall be conclusive evidence of any information and/or data transmitted between us and you. You hereby agree that all such records are admissible in evidence and that you shall not challenge or dispute the admissibility, reliability, accuracy or the authenticity of such records merely on the basis that such records are in electronic form or are the output of a computer system, and you hereby waive any of your rights, if any, to so object.
11. Assignment: You may not assign your rights under these Terms and Conditions without our prior written consent. We may assign our rights under these Terms and Conditions to any third party.
12.
